Terms of Service

4.1 Institutional Registration

To access the Services, Institutions must register by creating an account through our website or by entering into a Service Agreement with Webnerd Solutions. Institutional accounts are managed by designated Administrators.

4.2 Student Accounts

Individual Student accounts are created and managed by the Institution's Administrator. Students do not register directly with Webnerd Solutions unless explicitly permitted.

4.3 Accuracy of Information

You agree to provide accurate, current, and complete information during registration and to promptly update such information if it changes.

4.4 Account Security

You are solely responsible for maintaining the confidentiality of your login credentials. You agree to:

• Not share your credentials with any unauthorised person.
• Notify us immediately at webnerdsolutions@gmail.com upon becoming aware of any unauthorised access to your account.
• Accept responsibility for all activities that occur under your account.

4.5 Accounts for Minors

Because our Services are used by students, including minors below the age of 18 years:

• All student accounts for minors are created and administered solely by an authorised Institution or Administrator.
• By creating accounts for minor students, the Institution represents and warrants that it has obtained valid, verifiable parental or guardian consent as required under the Digital Personal Data Protection Act, 2023.
• Webnerd Solutions does not knowingly permit minors to self-register or directly contract with us.

7.1 Nature of AI Feedback

The AI Code Review feature provides automated, algorithmic feedback on code submissions for educational and evaluation purposes. Feedback is generated using machine learning models and automated analysis tools.

7.2 Limitations

AI-generated feedback is not exhaustive, infallible, or a substitute for human expert review. It may not capture all errors, edge cases, or context-specific nuances.

7.3 No Professional Guarantee

AI-generated code review does not constitute a professional software engineering assessment, legal opinion, or career advice. Webnerd Solutions makes no guarantee regarding the accuracy, completeness, or reliability of AI feedback.

7.4 No Liability for Decisions

We shall not be held liable for any academic, professional, hiring, or financial decisions made based on AI-generated feedback. Users and Institutions are solely responsible for how they interpret and act upon such feedback.

8.1 Honest Conduct

All students and users are expected to complete examinations honestly, independently, and without external assistance unless explicitly permitted by the Institution.

8.2 Automated Monitoring

Our Platform employs automated plagiarism detection, session monitoring, and integrity tools. If academic dishonesty, impersonation, or unusual activity is detected, we reserve the right to flag the session and notify the Institution's Administrator.

8.3 No Liability for Outcomes

Webnerd Solutions is not responsible for any academic consequences, disputes, or outcomes arising from the Institution's use of exam data, reports, or integrity flags generated by the Platform.

9.1 Ownership by Webnerd Solutions

All software, source code, algorithms, AI models, user interfaces, design elements, trademarks, logos, branding, Exam Content, and other materials available on or through the Platform are the exclusive intellectual property of Webnerd Solutions Pvt. Ltd. and are protected under applicable Indian intellectual property laws, including the Copyright Act, 1957 and the Trade Marks Act, 1999.

9.2 Limited Licence to Users

We grant Institutions and their authorised users a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for the purposes described in these Terms and any applicable Service Agreement. This licence does not include the right to sublicence, modify, reproduce, distribute, publicly display, or create derivative works from any Platform content.

9.3 User-Generated Content

You retain ownership of any original content you create, including Code Submissions. By submitting content to the Platform, you grant Webnerd Solutions a non-exclusive, worldwide, royalty-free, perpetual licence to use, store, process, analyse, and display that content solely for the purposes of providing and operating the Services, and improving and training the AI models in anonymised, non-identifiable, aggregated form.

9.4 Exam Content Restrictions

All Exam Content — including questions, problems, test cases, and answer keys — created or curated by Webnerd Solutions remains our exclusive intellectual property. Institutions and Students may not copy, redistribute, publish, or share such content outside the Platform without prior written consent.

10.1 Subscription Fees

Fees applicable to Institutional subscriptions are communicated separately via quotation, invoice, or Service Agreement. All fees are quoted in Indian Rupees (INR) and are exclusive of applicable taxes, including Goods and Services Tax (GST), unless explicitly stated otherwise.

10.2 Payment Obligations

Institutions agree to pay all applicable fees by the due date specified in the invoice or Service Agreement. Late payments may result in suspension of access to the Platform.

10.3 Refund Policy

Refunds, if applicable, are governed by the specific terms in your Service Agreement. In the absence of a written refund clause, no refunds will be issued for partially consumed subscription periods or prepaid fees.

10.4 Taxes

You are responsible for all applicable taxes, duties, and levies imposed by governmental authorities in connection with your use of the Services.

11.1 Termination by You

An Institution may terminate its account by providing 30 days' written notice to webnerdsolutions@gmail.com. Termination does not relieve the Institution of any outstanding payment obligations or liabilities incurred prior to termination.

11.2 Termination by Webnerd Solutions

We reserve the right to suspend or terminate your access to the Platform, with or without prior notice, in the following circumstances:

• Breach of any provision of these Terms or a Service Agreement.
• Legal obligation or court order requiring us to do so.
• Prolonged non-payment of fees.
• Use of the Platform in a manner that causes harm to other users, third parties, or the Platform itself.

11.3 Effect of Termination

Upon termination of your account:

• Your licence to access and use the Platform ceases immediately.
• All data associated with your account may be retained for a maximum of 30 calendar days, after which it will be securely deleted unless a longer retention period is required by applicable law.
• Recovery of data after deletion will not be possible.

12.1 As-Is Basis

The Platform is provided on an "as is" and "as available" basis. Webnerd Solutions makes no warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

12.2 Service Availability

We do not guarantee that the Platform will be available at all times, uninterrupted, error-free, or free from security vulnerabilities. We will make reasonable efforts to notify users of planned maintenance or downtime.

12.3 Educational Outcomes

Results, scores, and performance data generated by the Platform are for educational and evaluative purposes only. Webnerd Solutions does not guarantee any academic outcomes, entrance examination results, or career outcomes arising from the use of the Platform.

15.1 Governing Law

These Terms shall be governed by, and construed in accordance with, the laws of the Republic of India, without regard to conflict of law principles.

15.2 Amicable Resolution

In the event of any dispute, controversy, or claim arising out of or in connection with these Terms, the parties shall first attempt to resolve the matter amicably through good-faith negotiations within 30 calendar days of written notice of the dispute.

15.3 Arbitration

If the dispute is not resolved amicably within 30 days, it shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted by a sole arbitrator mutually agreed upon by the parties. Proceedings shall be conducted in the English language.

15.4 Jurisdiction

Subject to the arbitration clause above, the courts of Andhra Pradesh, India shall have exclusive jurisdiction over any legal proceedings arising out of or in connection with these Terms.

17.1 Entire Agreement

These Terms, together with any applicable Service Agreement and our Privacy Policy, constitute the entire agreement between you and Webnerd Solutions with respect to the Platform.

17.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

17.3 Waiver

Failure by Webnerd Solutions to enforce any right or provision under these Terms shall not constitute a waiver of that right or provision.

17.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without the prior written consent of Webnerd Solutions. We may assign our rights and obligations at our discretion.

17.5 Force Majeure

Webnerd Solutions shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including natural disasters, government actions, internet outages, or third-party service failures.
